Introduction

These Terms & Conditions (“Terms”) govern your access to and use of ETLAQ websites, platforms, applications, digital experiences, checkout pages, and services (collectively, the “Services”) provided by ETLAQ CONSULTING & ETLAQ LLC (“ETLAQ,” “we,” “us,” or “our”).

By accessing, browsing, purchasing, registering for, or using any part of the Services, you agree to be bound by these Terms.

CHECKOUT CONSENT: When you purchase a product or service, you must tick the checkbox confirming that you have read and agree to these Terms. That checkbox (and/or your electronic acceptance) constitutes a legally binding electronic signature and acceptance.

1. Who We Are

When you use the Site, we process certain types of Information, as described below.

ETLAQ CONSULTING is a strategic marketing and business consulting firm founded in Kuwait in 2005, later expanding into the United States. We provide services including Managing, Consulting, Training, Coaching, and Mentoring, plus AI-enabled guidance experiences through ETLAQ AI and events such as masterclasses, workshops, seminars, and conferences.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use or purchase Services. If you create an account, you agree to provide accurate information and keep your login credentials confidential.

3. Scope of Services

ETLAQ Services may include, without limitation:

  1. Managed Services (“Managing”): End-to-end launch or marketing management, including project coordination and implementation support.
  2. Consulting: Strategic marketing/business consulting engagements, one-time or ongoing.
  3. Training: Corporate/startup training programs delivered by local and international experts.
  4. Coaching: Professional coaching and feedback for strategic decision-making.
  5. Mentoring: Mentorship relationships focused on guidance and growth.
  6. Events: Seminars, workshops, masterclasses, and conferences.
  7. Digital Products & Resources: Templates, playbooks, recordings, documents, and other downloadable or streamed materials.
  8. ETLAQ AI & Quizzes/Assessments: AI-enabled guidance and framework-based quizzes such as launch readiness, launch fear, and launch blindspot experiences.

Specific deliverables, timelines, and fees will be defined in the applicable checkout page, order form, proposal, statement of work (“SOW”), or service agreement. If there is a conflict, the order form/SOW will control for that purchase.

4. Important Disclaimers

ETLAQ provides educational, strategic, and informational services. We do not provide legal, tax, accounting, medical, or regulated professional advice. You are responsible for your business decisions, compliance obligations, and results.

ETLAQ AI Disclaimer: AI outputs may be inaccurate, incomplete, or outdated. You agree to independently verify any AI-generated guidance before acting on it.

5. Pricing, Taxes, and Checkout Disclosures

Before you place an order, we will present key transaction details, including the nature of the Service, total price, accepted payment methods, delivery/fulfillment details, and any applicable refund/return policy, in the checkout flow and/or on the order page (the “Order Details”). We reserve the right to correct pricing errors.

6. Electronic Contracting, Invoices, and Error Correction

You agree that your electronic acceptance (including ticking the checkbox at checkout) forms a binding contract.

E-Invoices: After purchase, we may provide an electronic invoice/receipt via email or other electronic method. For transactions subject to Kuwait e-commerce requirements, invoices may be issued in Arabic and may also include additional languages.

Error Correction: If our checkout system does not provide a way to correct a transaction error before submission, you may contact us promptly to request correction/cancellation, provided you have not used/received any benefit from the product/service, as applicable.

7. Payment Terms

You authorize us (and our payment processors) to charge your payment method for all amounts due. If your payment fails, we may suspend access until payment is received. You are responsible for any bank/processor fees charged to you.

8. Delivery, Access, Scheduling, and Participation

  1. Digital access may be provided via email, login credentials, download link, or a platform.
  2. Services requiring scheduling (consulting, coaching, mentoring, training) require you to cooperate in scheduling. Missed appointments may be forfeited or rescheduled at our discretion.
  3. Events: Event details, venue rules, and participation requirements will be provided in event-specific terms.

9. General Refund Policy

9.1 Kuwait – 14-Day Withdrawal Right (Where Applicable)

If your purchase is governed by Kuwait e-commerce consumer withdrawal rules, you may have the right to withdraw from an electronically concluded contract within 14 days of receiving the product or from the contract date for services, as long as you have not used the product/service.

Exceptions (No Withdrawal Right) may include situations such as:

  • If you used the product/service or benefited from it;
  • Custom-made products;
  • Perishable goods;
  • Digital media/content, once used, or the activation code is used;
  • Successful software/program downloads;
  • Date-specific services;

9.2 Late Delivery (Where Applicable)

If delivery/execution is delayed such that you cannot use the service/product for its intended purpose, or if the delay exceeds 15 days beyond the agreed delivery date (unless a different period is agreed), you may have the right to cancel and receive a refund of amounts paid for the affected obligations.

9.3 General Refund Policy (All Other Cases)

Refund eligibility (if any) depends on what you purchased and is described in the Order Details and/or SOW. Unless stated otherwise:

  • Digital products and downloadable materials are typically non-refundable once access is delivered.
  • Services are non-refundable once performed; partially performed services may be refunded at our discretion for the unperformed portion only.

Nothing in this section limits mandatory consumer rights that cannot legally be waived.

10. Complaints & Customer Support

We maintain channels for submitting complaints and customer support requests and will respond within a reasonable period. For Kuwait-related requirements, we maintain a complaint-handling process and retain complaint records for at least six months.

11. Privacy, Data Protection, and Security

Our collection and use of personal data is governed by our Privacy Policy.

For transactions subject to Kuwait e-commerce requirements:

  • We will not retain personal data longer than necessary to perform the contract, and we will not use it for unauthorized purposes or share it with third parties without the consumer’s prior consent (unless required by law).
  • Financial/payment data requires higher protection and is not to be shared with unauthorized third parties.
  • We apply appropriate technical measures to protect consumer data and may be responsible for damages caused by negligence in protection or privacy violations.
  • We aim to follow applicable cybersecurity requirements, including encryption where appropriate.

Security Incident Notice: Where required, in the event of a data breach, we will notify affected consumers and competent authorities within 72 hours of discovering the incident, including relevant details and mitigation steps.

12. Intellectual Property

All content, frameworks, materials, software, videos, text, logos, and brand assets provided by ETLAQ are owned by ETLAQ or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, sell, or create derivative works without our prior written consent.

13. User Content & Feedback

If you submit comments, testimonials, feedback, or other content, you grant ETLAQ a worldwide, royalty-free license to use it for operating and improving Services and for marketing (unless prohibited by law or you revoke consent where applicable).

14. Third-Party Tools, Platforms, and Partners

Some Services may rely on third-party platforms or tools (e.g., CRM systems, membership platforms, AI providers, and payment processors). ETLAQ is not responsible for the availability, security, or acts/omissions of third-party services. Your use of third-party services may be governed by their own terms.

15. Acceptable Use

You agree not to:

  • Violate any law or regulation;
  • Infringe intellectual property rights;
  • Upload malware or attempt unauthorized access;
  • Harass, defame, or abuse others;
  • Use ETLAQ AI or content to generate unlawful, harmful, or infringing materials;

We may suspend or terminate access for violations.

16. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or create a legal/security risk. Upon termination, any outstanding fees remain due, and clauses intended to survive will continue to apply (e.g., IP, disclaimers, limitations of liability, dispute resolution).

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results, revenue, or performance outcomes.

18. Limitation of Liability

To the fullest extent permitted by law:

  • ETLAQ will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/data/business opportunities.
  • ETLAQ’s total liability for any claim will not exceed the amount you paid to ETLAQ for the specific Service giving rise to the claim in the [3/6/12]-month period preceding the event (choose your preferred cap), unless a higher liability is required by non-waivable law.

19. Indemnification

You agree to indemnify and hold harmless ETLAQ from claims arising from your misuse of Services, violation of these Terms, or infringement of third-party rights.

20. Governing Law & Dispute Resolution (California + Kuwait)

Because ETLAQ operates in Kuwait and the United States, the following rules apply:

20.1 California / United States

For customers located in the United States (or transactions primarily performed in the US), these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Court proceedings will be held in California unless arbitration is required or permitted.

20.2 Kuwait

For customers located in Kuwait (or transactions primarily performed in Kuwait), mandatory Kuwait consumer protection and digital/e-commerce rules apply, as required by law. Disputes that must be heard in Kuwait will be subject to Kuwait law and the competent courts of Kuwait.

20.3 Mandatory Rights

Nothing in these Terms waives rights that cannot be waived under applicable consumer protection laws.

21. Changes to Terms

We may update these Terms from time to time. Changes take effect when posted, unless stated otherwise. Continued use of Services after changes means you accept the updated Terms.

22. Miscellaneous

  • Severability: If any provision is unenforceable, the rest remains in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
  • Entire Agreement: These Terms + Order Details/SOW + referenced policies form the entire agreement.
